However, upon request, sales inquiries may be addressed via phone or virtual meetings. Design collaboration occurs solely via email and the Figma Prototyping, FigJam (or similar design collaboration tools) platform, ensuring a streamlined, efficient experience without requiring direct calls during development.

Marketing Communications:
CoolBiz™ may occasionally send limited marketing communications to subscribers regarding new features, service enhancements, or relevant business updates.
- Minimal & Relevant: CoolBiz™ strives to limit marketing communications to no more than one email per month unless major product updates or critical service announcements are required.
- Opt-Out Availability: All marketing communications include clear opt-out options, allowing recipients to unsubscribe easily if they no longer wish to receive such messages.
CoolBiz™ may use email or other electronic methods to provide important service-related information, including account notifications, security alerts, and maintenance updates. Critical communications may be sent from a no-reply address and cannot be disabled to ensure service integrity.

- Website Design Toggle-Based Feature Selection and Contract Formation
CoolBiz™ provides clear and transparent information regarding billing, service activation, and contractual obligations. For more details about refunds, cancellations, and billing procedures, please refer to our comprehensive Refund Policy. The following terms summarize the key aspects of our service selection and contract process:
- Contracts: Dynamically generated based on selected service parameters.
- Digital Signature Requirement: Execution of a digital signature is mandatory before any work begins.
- Service Activation Requirements:
- Completed and verified digital signature
- Successful processing of initial payment
- Receipt and verification of all required project materials
- Automatic Approval Policy:
If we do not receive a response within ten (10) business days after sending the contract, the service details will be automatically approved, and the project will proceed as outlined. This automatic approval ensures that our designers can begin work without unnecessary delays. However, clients are still welcome to provide input as they receive prototypes via email, where they can leave notes and collaborate directly with our developers.
- Payment Terms and Processing
- Payment Platform: All payments are processed exclusively through Stripe.
- Milestone-Based Payments: Payments are structured around project milestones, as defined in the project contract.
- Initial Payment: An initial payment is required before the commencement of any services. This non-refundable payment covers time, resources, and project setup.
- Payment Validity: If the initial payment is not processed successfully, the contract is invalid, and services will not commence until payment is verified.
- Partial Refunds: Clients may request a partial refund if they terminate the project after the first milestone. If approved, refunds will be based on work completed, and no work product or deliverables will be provided. See our Refund Policy for full details.
- Service Suspension: Services will be suspended if a scheduled payment is missed. Reinstatement requires full payment of outstanding balances and possible reactivation fees.
These terms are designed to ensure fair compensation for work completed while providing flexibility for clients who may wish to discontinue services after the initial milestone. For full refund details, see our Refund Policy.
- Project Delivery and Quality Assurance
Delivery Standards:
- All deliverables will be provided through designated digital platforms.
- Design reviews and approvals will be conducted exclusively through email and Figma Prototyping, FigJam (or similar design collaboration tools).
- Maximum of five (5) revision rounds per design phase; additional revisions may be requested at an additional cost.
- All communications regarding design approvals will be sent via email. Clients are responsible for checking their inboxes regularly to ensure timely feedback. Failure to respond within five (5) business days will be interpreted as approval of the deliverables.
Quality Control Measures:
- Comprehensive testing protocols to validate design functionality and performance.
- Clearly defined acceptance criteria for deliverables, communicated in advance.
- Established bug-fix procedures to address any identified issues.
- Regular quality audits to maintain consistency and adherence to project specifications.
- Intellectual Property and Content Rights
Software and Platform Rights:
- CoolBiz™ retains exclusive ownership of all software platforms, frameworks, tools, and underlying infrastructure used to create and deliver services.
- Website design ownership transfers to the client upon final payment completion, including the final website files, content, and other deliverables specifically created for the client’s project.
- Proprietary Code and Systems Remain CoolBiz™ Property: While clients receive full ownership of their completed website, CoolBiz™ retains intellectual property rights over any custom software, reusable code libraries, and system architectures used during development.
- Client content ownership remains with the client, including any text, images, videos, and other materials they provide for use in the website design.
Prohibited Activities:
- Unauthorized reproduction or distribution of CoolBiz™ materials
- Sub-licensing or reselling of any CoolBiz™ content
- Modification of source code or underlying software architecture
- Third-Party Services and Outsourcing
Required Platforms and Services:
- Figma Prototyping, FigJam (or similar design collaboration tools) platform for all design collaboration
- Stripe payment processing system
- Authorized email systems for communications (e.g., support@coolbiz.info – refer to section three for details)
- Discord (for community engagement, hosted by Discord Inc.)
Global Team Expertise:
- Our global team of skilled professionals provides web design and development services, which are managed under CoolBiz™’s strict standards.
Client Responsibilities and Limitations:
- Maintenance of valid platform access credentials
- Compliance with third-party terms of service
- Acknowledgment of limited liability for service interruptions
- Privacy and Data Protection
CoolBiz™ is committed to protecting the privacy and security of user information through transparent practices and industry-leading standards. We collect, process, and safeguard data in compliance with applicable privacy regulations and established best practices.
Regulatory Compliance:
- Adherence to applicable privacy and communication standards, including GDPR, CCPA, CTIA, and A2P requirements.
- Implementation of industry-standard security protocols, including encryption of sensitive data both at rest and in transit.

- CoolBiz™ does not use user-generated interactions for external AI model training; any data used for internal improvements is anonymized and aggregated.
- We do not engage in behavioral tracking, profiling, external AI training, or respond to Do Not Track (DNT) signals.
- Personal data is never sold or shared with third parties for marketing purposes.
Phone System Memory and Data Retention:
To enhance service quality and user experience, CoolBiz™ may utilize persistent memory for phone system interactions. This feature allows the system to recognize returning callers and personalize interactions based on prior communications.
- Phone system memory is retained for no longer than thirty (30) days unless otherwise required for compliance or operational purposes. Contact information and opt-in tags, however, are retained separately for marketing purposes in accordance with applicable privacy regulations.
- Persistent memory is used exclusively to improve call handling and operational performance and is not repurposed for marketing, profiling, or behavioral analytics.
- Contact information and opt-in status for marketing communications are retained beyond 30 days, as permitted by law, to maintain accurate records of user preferences.
Third-Party Integrations and Data Sharing:
CoolBiz™ utilizes third-party services such as payment processors, cloud providers, and scheduling tools to deliver its services. While these partners are selected with care and subject to contractual safeguards, CoolBiz™ does not control their actions or data-handling practices.
- Data transfers to third-party providers are conducted in compliance with applicable regulations.
- Integration with external platforms does not constitute an endorsement of those services.
- Users are responsible for managing and understanding the data-sharing practices of any third-party applications they choose to integrate with CoolBiz™ services.

Scheduled maintenance windows are carefully planned and communicated to minimize service disruption, typically during periods of lowest usage. Our monitoring systems track service health in real time, enabling rapid response to potential performance issues.
Data Breach Notifications:
CoolBiz™ implements strict protocols to prevent unauthorized access to personal or sensitive information. In the event of a data breach that poses a significant risk to affected individuals, we will:
- Notify impacted users without undue delay.

If users become aware of a potential breach related to their use of CoolBiz™ services, they must promptly notify us of their discovery to support collaborative mitigation efforts. Users cannot override retention mandated by law or compliance features (e.g., opt-in/opt-out protocols).
- Phone System Memory: Data collected through our phone system may include information necessary to recognize returning callers and personalize interactions. This data is retained for no more than thirty (30) days unless an extended period is required for legal or compliance purposes.
- Marketing and Opt-In Records: Contact information and associated opt-in status for individuals who provide marketing consent are retained indefinitely unless the user opts out. This data includes only the information necessary to manage contact records and marketing preferences and does not include conversational content.
- Opt-In Sources: Marketing-related contact information is collected when users submit our contact form, schedule a virtual meeting, or otherwise provide consent through our online services.

This limitation ensures that data processing activities do not qualify as large-scale data processing under applicable regulations.

- Third-Party Service Failures: Disruptions or outages involving payment processors, cloud hosting providers, or third-party integrations.
- User Misuse or Unauthorized Modifications: Errors arising from improper use, misconfiguration, or unauthorized alterations of our services.
Our liability is strictly limited as permitted under California law and these Terms of Service.
Financial Liability Limitations:
To the maximum extent permitted by law, CoolBiz™’s total financial liability for any claim, dispute, or legal action arising from the use of our services shall not exceed the total amount paid by the affected client for those services within the twelve (12) months preceding the claim.

- Data Retention Exemptions: Certain data elements, such as compliance-related records, billing information, and marketing opt-in tags, may be retained beyond 30 days when required by law or for operational purposes.
- Compliance Safeguards: All data control activities comply with applicable privacy regulations, including GDPR, CCPA, and other relevant frameworks.
- Prohibited Uses

Users of CoolBiz™ services must adhere to strict usage guidelines to protect the integrity of our platforms, ensure regulatory compliance, and maintain a safe environment for all users. The following activities are expressly prohibited:
- Harmful Actions: Engaging in any activity that harms, disrupts, or interferes with the services provided by CoolBiz™, its users, or third parties.
- Discord-Specific Prohibited Activities:
- Posting spam, unauthorized promotions, malware links, or NSFW content in the CoolBiz™ Discord.
- Engaging in harassment, doxxing, or harmful behavior toward server members.
- Misrepresenting official CoolBiz™ support or spreading misinformation.
- Unlawful Activities: Violating any applicable local, state, federal, or international laws, regulations, or industry standards.
- Unauthorized Access: Attempting to gain unauthorized access to any system, account, or data, or bypassing security measures implemented to protect our services.
- Credential Misuse: Sharing, selling, or transferring access credentials to unauthorized individuals or entities.
- Fraudulent or Unethical Conduct: Using CoolBiz™ services for any prohibited, illegal, deceptive, fraudulent, or unethical activities.

Users found to be engaging in prohibited activities may have their interactions restricted or blocked without notice. CoolBiz™ may also take legal action against individuals or entities involved in severe violations, including fraud, abuse, or unauthorized access to our systems.

Binding Arbitration Agreement:
By using CoolBiz™ services, you agree that any disputes, claims, or controversies arising from or related to our services shall be resolved exclusively through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).
This agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. Arbitration proceedings will take place exclusively in Redding, California.
By agreeing to these terms, you waive the right to:
- File a lawsuit in court.
- Participate in any class-action claims or collective proceedings.
Arbitration Benefits:
Arbitration provides a more efficient, cost-effective, and neutral resolution process for both parties. The arbitrator’s decision will be final and binding, with limited rights of appeal as permitted by law.
Exceptions to Arbitration:
This arbitration provision does not apply in cases where:
- Injunctive relief is sought to prevent unauthorized use of CoolBiz™ services.
- Claims are brought in a small claims court of competent jurisdiction.
If any part of this section is found to be unenforceable, the remaining provisions will remain in full force and effect.

- Severability
